The cash price is only the first step
WSP’s offer of 430 pence per share valued Ricardo’s fully diluted equity at approximately £281.0 million. The £363.1 million pre-IFRS 16 enterprise value adds £82.1 million of adjustments: adjusted net financial debt (£53.2 million, including the initial cash consideration for E3 Advisory), deferred and contingent consideration, an estimated minority put, phantom share settlement and a non-controlling interest [1, 2]. The difference is a consequence of the transaction’s debt-like items, not of a competing offer.
The denominator is deliberately reconstructed
The 10.4× multiple, stated in the offer announcement among the Ricardo directors’ reasons for recommending the offer, divides that enterprise value by £35.0 million of pre-IFRS 16 underlying EBITDA. The measure excludes Ricardo Defense, includes a full-year pro forma contribution from E3 Advisory and is not the reported EBITDA of the historic group [1, 2].
Lease treatment matters. On a post-IFRS 16 basis — adding £23.8 million of lease liabilities to give an enterprise value of £386.9 million, against £41.0 million of EBITDA — the multiple is 9.4×. Comparisons are only meaningful on a consistent basis.
Not a neutral purchase of every division
WSP singled out Ricardo’s environmental and energy transition, and rail, expertise as its strategic fit. The automotive and manufacturing activities were placed under strategic review [3], and Ricardo’s later update described plans to pursue their separation [5]. That update is evidence of an announced plan, not independent verification that any separation or disposal has completed.
Limits of the analysis
This is an independent, non-exhaustive analysis of a single publicly disclosed acquisition. No private diligence, management interviews or proprietary comparables were used, and elements of the pro forma bridge rely on management information disclosed in the offer. The multiple is not a sector benchmark or a guide to what another company should command.
It is published for general market information only. It is not a securities recommendation, investment research recommendation or valuation opinion, and is not an invitation or inducement to invest or enter into any transaction. Alkhazaleh Advisory was not an adviser to WSP, Ricardo or any party to the acquisition; company names identify the subject matter and imply no endorsement.
